Terms and Conditions of Service
Governing the Use of Henry Informational Services Inc. (HIS) Investigative, Background Screening, and Due Diligence Services.
1. Acceptance of Terms
By accessing or using any services provided by Henry Informational Services Inc. (HIS), the client (“Client,” “You”) agrees to be bound by these Terms and Conditions. These Terms govern all interactions, service agreements, and deliverables between HIS and the Client.
2. Nature of Service
HIS provides professional and discreet investigative, due diligence, background screening, and consultancy services.
Fact-Based: Services are purely factual, based on data and evidence gathered during the investigation. HIS does not guarantee specific outcomes or conclusions but guarantees professional, diligent effort in gathering available, verifiable information.
Legal Compliance: All investigative work is conducted strictly in compliance with applicable local laws in Nigeria and the relevant regional jurisdictions (West and Central Africa).
Authorization: The Client warrants that they have the legal right and necessary authorization to request the investigative services, including any required consent from subjects (where applicable by law), particularly concerning employee background checks.
3. Client Responsibilities
The Client must provide accurate, complete, and truthful information necessary for HIS to perform the services. The Client agrees to use the reports, findings, and intelligence provided by HIS solely for legitimate and lawful business or personal purposes. The Client shall not use the information provided by HIS to violate any laws, harass, defame, or otherwise cause harm to any individual or entity.
4. Confidentiality and Non-Disclosure
All communication, data, and deliverables shared between HIS and the Client are deemed highly confidential.
HIS Obligation: HIS staff are bound by strict professional ethics and non-disclosure agreements (NDAs) and will not disclose case details to unauthorized third parties.
Client Obligation: The Client must maintain the confidentiality of HIS’s investigative methods, pricing, and personnel details.
5. Fees and Payment
Service fees, retainers, and payment schedules will be defined separately in a written service agreement or engagement letter. Failure to adhere to the agreed-upon payment terms may result in the suspension or termination of investigative services.
6. Limitation of Liability
HIS shall not be liable for any direct, indirect, incidental, or consequential damages resulting from the use or inability to use the services, or for the cost of procurement of substitute services. The total liability of HIS to the Client for any claim arising out of or relating to these Terms or the services shall not exceed the total fees paid by the Client to HIS for the specific services that gave rise to the claim.
7. Governing Law
These Terms and Conditions shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict of law principles.
